By accessing or using Direct Studio, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our service.

These Terms apply to all users of Direct Studio, including without limitation users who are browsers, customers, merchants, and/or contributors of content.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to:

• •Access and use Direct Studio for your personal or internal business purposes
• •Create, edit, and export screen recordings and related content
• •Store your recordings on our platform for your purchased projects

You may NOT:

• •Use the service for any illegal or unauthorized purpose
• •Violate any laws in your jurisdiction (including copyright laws)
• •Transmit any malicious code, viruses, or harmful content
• •Attempt to reverse engineer or decompile the software
• •Resell, redistribute, or sublicense the service to third parties
• •Use the service to record copyrighted content without permission
• •Record sensitive information without proper authorization

To use certain features of Direct Studio, you must register for an account. You agree to:

• •Provide accurate, current, and complete information during registration
• •Maintain and promptly update your account information
• •Maintain the security and confidentiality of your password
• •Accept responsibility for all activities under your account
• •Immediately notify us of any unauthorized use of your account
• •Not share your account credentials with others

Your Content: You retain all rights to the recordings and content you create using Direct Studio. By using our service, you grant us a limited license to store, process, and deliver your content as necessary to provide the service.

Our Content: Direct Studio and its original content, features, and functionality are owned by Direct Studio and are protected by international copyright, trademark, and other intellectual property laws.

You are responsible for ensuring you have the necessary rights and permissions for any content you record or upload to our platform.

Direct Studio operates on a per-project payment model:

• •Each project requires a one-time payment to unlock all features
• •Payment is processed immediately upon purchase
• •All sales are final - no refunds except as outlined in our Refund Policy
• •Project access is permanent once purchased
• •We reserve the right to modify pricing for future projects with 30 days notice
• •Free features are available without payment to test the service

We strive to provide reliable service but cannot guarantee uninterrupted availability:

• •The service is provided "as is" and "as available"
• •We may modify or discontinue features with reasonable notice
• •Scheduled maintenance will be announced in advance when possible
• •We are not liable for any interruptions or loss of service
• •Emergency maintenance may occur without prior notice

In no event shall Direct Studio, its directors, employees, or agents be liable for:

• •Any indirect, incidental, special, consequential, or punitive damages
• •Loss of profits, data, use, goodwill, or other intangible losses
• •Damages resulting from unauthorized access to your account
• •Damages resulting from third-party content or conduct
• •Any damages exceeding the amount paid by you in the last 12 months

This limitation applies regardless of the legal theory on which the claim is based.

You agree to defend, indemnify, and hold harmless Direct Studio and its affiliates from any claims, damages, obligations, losses, liabilities, costs, or expenses arising from:

• •Your use of and access to the service
• •Your violation of these Terms
• •Your violation of any third-party rights
• •Any content you create, upload, or share through the service

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including:

• •Breach of these Terms of Service
• •Fraudulent or illegal activity
• •Fraudulent payment or chargeback attempts
• •Repeated violations of our acceptable use policy
• •At our sole discretion without cause (with pro-rated refund if applicable)

Upon termination, your right to use the service will cease immediately. You may download your recordings for 30 days after termination.

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of Direct Studio shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

We reserve the right to modify these Terms at any time. We will notify users of any material changes via email or through the service. Your continued use of Direct Studio after such modifications constitutes acceptance of the updated Terms.
